1. Agreement to Terms

By accessing or using Pipeworks ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Pipeworks ("Company," "we," "us," or "our").

2. Description of Service

Pipeworks provides a platform for connecting AI agents to external business services through managed integrations. The Service allows users to securely connect, configure, and manage access to third-party services including but not limited to payment processors, CRM systems, analytics platforms, and content management systems.

3. Account Registration and Security

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Ensuring that your use complies with all applicable laws and regulations

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Acceptable Use

You agree NOT to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit malware, viruses, or other malicious code
  • Attempt to gain unauthorized access to any systems or networks
  • Interfere with or disrupt the integrity or performance of the Service
  • Harvest, collect, or store personal data of others without consent
  • Use the Service for any fraudulent or deceptive purposes
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Circumvent any security measures or access controls
  • Resell, sublicense, or redistribute the Service without authorization

5. Third-Party Services

The Service enables connections to third-party services. Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services. You are solely responsible for ensuring your use of third-party services complies with their terms and any applicable laws.

6. Data and Credentials

You retain ownership of all data and credentials you provide to the Service. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service. You represent and warrant that:

  • You have the right to provide any credentials or data to the Service
  • Your use of the Service does not violate any agreements with third parties
  • You will not provide credentials for accounts you do not own or control

7. Intellectual Property

The Service, including all software, designs, text, graphics, and other content, is owned by Pipeworks and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. This license does not include the right to modify, copy, distribute, or create derivative works of the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIPEWORKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Pipeworks and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of any third party.

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service with a new "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
